Company Secretary (CS)

The Institute of Company Secretaries of India (ICSI) is the only recognized professional body in India to develop and regulate the profession of Company Secretaries in India. It is a premier national professional body set up under an act of Parliament, the Company Secretaries Act, 1980.

 

ICSI has its headquarters at New Delhi, four Regional Offices at New Delhi, Chennai, Kolkata, Mumbai and 72 Chapters across India.

 

The ICSI provides top-quality education to the students of Company Secretaries (CS) Course and has set and maintains best quality standards for CS members. The ICSI has on its rolls more than 59,000 qualified CS members including over 11,000 members holding certificate of practice. Around 3,00,000 students are presently pursuing the Company Secretaryship Course.

CS Course at a Glance

Three Levels in the CS Programme

Level I – CSEET

The CSEET will be an online Computer-based Test. The test will comprises of Multiple Choice Questions (MCQs), audio clips, video clips, and descriptive questions. The duration of CSEET will be 135 minutes (120 Minutes for MCQ test and 15 minutes for Viva-Voce) and will be conducted on a single day. There is no negative marking.

Eligibility criteria

  • A candidate passed / appearing in the Senior Secondary (10+2) Examination or equivalent thereto is eligible to appear in the CSEET.
  • All Graduates/ Post Graduates who were hitherto eligible for registration directly to CS Executive Programme, are also required to pass the CSEET to become eligible for registration to Executive Programme

Documents Required for Registration

  • A recent, Passport sized photo with size between 20kb and 50kb.
  • Specimen signature with size of between 10kb to 20kb
  • Copy of Birth certificate with size not exceeding 2MB
  • Copy of 12th Pass certificate in PDF format with size not exceeding 2MB
  • ID proof (Aadhaar card/passport/voter ID /pan card/driving license/ration card) with size not exceeding 2MB
  • Category Certificate (if belonging to SC/ST OR Physically Handicapped Category) with size not exceeding 2MB

Registration procedure for CSEET

  1. Go to the ICSI website —-> ICSI website
  2. Go to the section “Online services” and click on “Register for CSEET”.
  3. Check the following boxes (These are mandatory documents that are required to be uploaded during the registration process)
    1. Photograph of the candidate
    2. Signature of the candidate
    3. DOB Certificate (10th pass certificate)
    4. Identity Proof (Aadhaar card/passport/voter ID /pan card/driving license/ration card)
    5. You need to have either qualification passed certificate or 12th roll number.
  4. Before we go the next section, please ensure that your documents meet the following guidelines.

    • All the files should be present in one of the following formats (JPG, JPEG, PNG, GIF, BMP, PDF).
    • The maximum allowed file size is 2MB.
    • File size of student photo should be between 20KB to 50KB.
    • File Size of student signature should be between 10KB to 20KB.
  5. After checking the above boxes, click on “Proceed to CSEET Registration”
  6. Select either of the following –
    1. If you are a first-time applicant, select “New registration” or
    2. If you had already submitted the details earlier and were not able to complete or had exited the registration process mid-way for any reason, select “Incomplete Registration”, provide your “Unique Number” and “Verification code” and click on “Submit” to complete your registration.
  7. For new applicants once you click “Next”, PLEASE NOTE THE UNIQUE ID DISPLAYED HERE.
  8. Fill in the Qualification details
  9. Enter the Source of Information and click on “Next
  10. Upload the documents you had checked earlier in point 3 above and check the box of declaration at the bottom and click “Next”.
  11. Preview your application and click on “Confirm Application
  12. Choose the “Mode of payment” and click on “Proceed
  13. On Successful Payment, you will be registered in the CSEET Programme and same will be intimated through email/SMS on registered email id/mobile number.

Registration of your CSEET will stay valid for 1 year only.

Level II – CS Executive

Eligibility criteria

  • In order to become eligible for registration as a student of Executive Programme, he/she should not be less than 17 years of age on the date of his/ her application.
  • Candidates must have passed the CSEET (CS Executive Entrance Test) for registration to CS Executive Programme.
  • There are few category students who are exempted for the CSEET (Candidates who have passed the CS Foundation Programme, ICAI Final Course and ICMAI Final Course are exempted from CSEET).

Documents Required for Registration

  • A recent, Passport sized photo with size between 20kb and 50kb.
  • Specimen signature with size of between 10kb to 20kb
  • Copy of Birth certificate with size not exceeding 2MB

  1. Go to ICSI’s website – ICSI website
  2. Toggle to “Online services” option and go to “Register for CS Course“.
  3. From the top menu click on “Executive Registration for CSEET passed students
  4. Check the following boxes (These are mandatory documents that are required to be uploaded during the registration process)
    1. Photograph of the candidate
    2. Signature of the candidate
    3. DOB Certificate (10th pass certificate)
    4. Identity Proof (Aadhaar card/passport/voter ID /pan card/driving license/ration card)
    5. You need to have either CSEET passed certificate or 12th marksheet or 12th qualification certificate.
  5. After checking all the boxes, click on “Proceed to Registration“.
  6. Select either of the following –
    1. If you are a first-time applicant, select “New registration” and enter your (a) CSEET Unique ID and (b) CSEET Roll number and enter to “Verification code” and then “Submitor
    2. If you had already submitted the details earlier and were not able to complete or had exited the registration process mid-way for any reason, select “Incomplete Registration”, provide your “Unique Number” and “Verification code” and click on “Submit” to complete your registration.
  7. Fill up the details requested and lick on “Next”.
  8. You will be given a “Request ID“. PLEASE NOTE THIS NUMBER and then click “Next“.
  9. Fill up your Education details and click “Next“.
  10. Fill the necessary information here, uncheck if you do not need any component and then click “Next
  11. Upload all the documents you had checked in point 4 above and click “Next
  12. Preview your application once to ensure there are no mistakes or errors and then click “Confirm Application“.
  13. Select the mode of payment and pay the requisite fees for the CS Executive registration.
  14. You will be given a Request ID and Transaction ID, please note this for any communication needed with ICSI regarding your application status and then click “Proceed”
  15. Upon successful payment, you will be registered for the CS Executive programme.

Cut Off date for Registration

  • 31st May (eligible to appear in both the modules of Executive Programme to held in December examination of the same year)
  • 31st July (eligible to appear in any One Module of Executive Programme to held in December examination of the same year)
  • 3oth November (eligible to appear in both the modules of Executive Programme to held in June examination of the next year)

Registration of your CS Executive will stay valid for 5 years.

Eligibility criteria

  • A student should have passed the CS executive examination with a minimum of 40% in each paper and 50% marks aggregate in all subjects

Registration procedure for CS Professional

  1. Go to ICSI’s website – ICSI website
  2. Toggle to “Online Services” and click on “Register for CS Course“.
  3. Click on “Home“, you will arrive at the SMASH login page.
  4. Enter your SMASH login credentials (user name and password) and enter the “Verification code” as shown in the box and click “Submit
  5. Toggle to “Module“>> Go to “Student services” and click on “Professional registration request
  6. You will be asked to select a optional subject which is mandatory.
  7. At the bottom of the page you will have your fees displayed and also be asked if you need the subscription to the CS Journal subscription. If you do not need the subscription, then check the box and Click “Proceed to payment gateway
  8. After successful payment, a receipt will be generated, please take a print of the same. Keep the Transaction ID and Request ID handy and use it for any communication being made with the ICSI.

The mode of examination will be Descriptive based for all 9 papers. Paper 8 & 9 will be an open book examination.

Training Structure

The training structure of CS was changed on 3rd February 2021. Student who irrespective of the date of his registration to Executive Programme or Professional Programme, has not commenced his/her training within the period as prescribed in notification ICSI/Trg/2020 dated 3rd Aug, 2020 which was extended up to 2nd Feb 2021, shall compulsorily be switched over to New Training Structure under the CS (Amendment) Regulations, 2020 w.e.f. 3rd Feb 2021.

The new training structure is as follows:

(I) Executive Development Programme (EDP): This will be a One month long programme which will be split into 15 days of classroom training which will be conducted CCGRT/CoE/ROs/ Chapters (upto the level of Gold Chapter) and the remaining 15 days will through online mode (i.e., e-EDP) which can be done through the ICSI’s e-learning portal. You become eligible to do this ONLY AFTER passing CS Executive examinations.


Points to note:

  • e-EDP as well as classroom training can be done simultaneously.

 

(II) Practical Training: This will be a Twenty One months long training. You become eligible to go for practical training ONLY AFTER completion of Executive Development Programme. The Practical Training will be on whole time basis during normal working hours,-

  • in a company having a company secretary in whole time employment and minimum paid up capital of Rs 50 Lakhs and above or any other company or LLP having a paid up capital of in accordance with the provision made in Rule 8, 8 (A) and as amended made by MCA from time to time; or
  • under a Company Secretary in whole-time practice having a valid certificate of practice (COP) of ICSI having a minimum of 1 year of experience as a member in practice and having adequate infrastructure; or
  • in MCA and its offices and Government bodies – (ROC, RD & office of OL etc.,) and Training can be undergone with Government bodies / departments, Public Sector Undertakings, Statutory bodies;
  • in an LLP, General LLP, CS Non Attestation LLP having not less than half of its partners are members of ICSI and having net worth/capital contribution/turnover of not less than Rs 50 lakhs.
  • in Banks recognised by the RBI.
  • in Financial Institutions having gross fixed assets minimum of Rs.10 lakhs and having standing of at least 10 years.

Points to note:

  • In your entire period of 21 months of Training, you would be allowed a total of 52 leaves.
  • You are required to submit the training contract/appointment letter to the ICSI within 100 days of commencement/joining of your training. Failure of which your training will be considered as Dummy training and such training will not be considered by the Institute.
  • Normal working hours for your Practical training shall not be less than 8 hours a day for 5 days or 40 hours in a week for a total period of practical training.
  • In case you need a transfer from one trainer to another, ICSI has allowed a maximum of 2 transfers within the period of 21 months. You will have to give a notice of minimum 45 working days to your trainer in writing by giving the reason for the same. Resignation letter must be handed over personally against proper acknowledgement receipt. It can also be sent by speed post / Registered post.

 

You can apply for exemption from 21 months practical training and 1 month of EDP, provided you meet the required eligibility criteria and on submission of required documents. (III) Corporate Leadership Development Programme (CLDP): This programme will be for minimum of 30 days but not more than 60 days. This become eligible for this programme ONLY AFTER passing the CS Professional examination but before applying for your ACS membership.
