The Institute of Company Secretaries of India (ICSI) is the only recognized professional body in India to develop and regulate the profession of Company Secretaries in India. It is a premier national professional body set up under an act of Parliament, the Company Secretaries Act, 1980.

 

Who is a Company Secretary?

 

  • A Company Secretary is the vital link between the company, its -
  • Board of Directors,
  • Shareholders,
  • Government and other agencies.
  • CS is an in-house Corporate expert; a compliance officer of the Company.
  • CS is an expert in Corporate laws, Securities laws & Capital market and Corporate governance.
  • CS is the Chief advisor to the board of directors on best practices in corporate governance.
  • CS is responsible for ALL regulatory compliances of company.

 

Company Secretary in Employment

  • Can become Key managerial personnel of a company
  • Has to be appointed as a whole-time Company Secretary of companies having paid up share capital of Rs. 5 crores or more.
  • Has to be appointed as whole-time key managerial personnel of every listed company and every other public company having a paid-up share capital of 10 crore rupees or more

Company Secretary in Practice

  • Secretarial Audit and Certificate Services
  • Representing on behalf of a company and other persons before NCLT
  • Handling Corporate restructuring and takeovers.
  • Administrator in respect of rehabilitation and revival of sick companies.
  • Appointment as Company Liquidator/ Provisional Liquidator.
  • Can be Technical member of NCLT
  • Can become a part of Mediation & Conciliation panel during the pendency of proceedings before CG/NCLT/NCLAT.

 

Three Levels in the CS Programme

Eligibility criteria

 

  • Students after passing 10+2 or its equivalent examination can apply for ICSI CS Foundation exam,

Documents Required for Registration

 

  • A recent, Passport sized photo with size between 20kb and 50kb.
  • Specimen signature with size of between 10kb to 20kb
  • Copy of Birth certificate with size not exceeding 2MB
  • Copy of 12th Pass certificate in PDF format with size not exceeding 2MB
  • ID proof (Aadhaar card/passport/voter ID /pan card/driving license/ration card) with size not exceeding 2MB
  • Category Certificate (if belonging to SC/ST OR Physically Handicapped Category) with size not exceeding 2MB

 

Registration procedure

 

  1. Go to F isci.edu
  2. Click on “Online services” and select “Register for CS course
  3. Check the following boxes (These are mandatory documents that are required to be provided)
    1. Photograph of the candidate
    2. Signature of the candidate
    3. DOB Certificate (10th pass certificate)
    4. Identity Proof (Aadhaar card/passport/voter ID /pan card/driving license/ration card)
    5. You need to have either qualification passed certificate or 12th roll number.
  4. After checking the above boxes, click on “Proceed to Registration”
  5. Select either of the following –
    1. If you are a first-time applicant, select “New registration”, choose “Foundation” for Applied programme and fill the remaining details. or
    2. If you have already filled the application earlier, select “Incomplete Registration”, provide your “Unique Number” and “Verification code” and click on “Submit” to complete your registration.
  6. For new applicants once you click “Next”, please note the Unique number.
  7. Fill in the Qualification details
  8. Enter the Source of Information and click on “Next
  9. Upload the documents you had checked earlier in point 3 above and check the box of declaration at the bottom and click “Next”.
  10. Preview your application and click on “Confirm Application
  11. Choose the “Mode of payment” and click on “Proceed
  12. On Successful Payment, you will be registered in Foundation Programme and same will be intimated through email/SMS on registered email id/mobile number.

 

Cut Off date for Registration

 

  • 31st March for appearing in December examination of the same year
  • 30th September for appearing in June examination of the next year

The mode of examination will be Computer based MCQs

 

 

 

 

Eligibility criteria

 

  • Graduation or its equivalent (Any discipline excluding Fine Arts) / CS Foundation Programme Pass/ Foundation pass of CMA/ CPT or Foundation Pass of ICAI or Final examination of any other Accountancy Institution in India or abroad recognized as equivalent thereto.
  • In order to become eligible for registration as a student of Executive Programme, he/she should not be less than 17 years of age on the date of his/ her application.
  • The student shall have to successfully complete a Pre-Examination Test to become eligible to register and appear in the Executive examination.

 

Documents Required for Registration

 

  • A recent, Passport sized photo with size between 20kb and 50kb.
  • Specimen signature with size of between 10kb to 20kb
  • Copy of Birth certificate with size not exceeding 2MB
  • Copy of 12th Pass certificate in PDF format with size not exceeding 2MB

Registration procedure for Pre-test examination

 

  1. Go to F http://www.icsi.in/PreExamFees/Login.aspx
  2. Enter your “Registration number” and “Date of Birth” and click “Submit
  3. After submitting the details, student information will be displayed. Click on “Next
  4. This page will display the payment instruction, click on “Proceed to payment
  5. Select your mode of payment through the Payment Gateway.
  6. On successful payment, a receipt will be generated. Print the same for future reference.
  7. Go to F https://elearning.icsi.in/
  8. Click on “Login” and enter your user ID and password
  9. Click on “My course
  10. Select “Online Pre-Examination Test” and click on “Launch
  11. Upon Launching, Pre-Examination Guidelines page will open, please read guidelines carefully.
  12. After reading Guidelines, click on Assessment Tab given just below paper name
  13. After Clicking on Assessment, click on launch assessment button.
  14. After clicking on launch assessment, instruction page will open. Read these instructions carefully. After reading instruction –
    1. Tick the checkbox displaying “I have read and understood the instructions and agree to adhere to them”.
    2. Click on “I am ready to begin” button

 

Please Note – The Institute might have granted paper-wise exemptions to some of the students on the basis of higher qualification / corresponding exemption(s) on the basis of switchover. Even though such students are not required to pass the Pre-Examination Test, they are required to launch the test of such papers after logging into the E-learning Module. They must agree to the instructions by clicking on the relevant check box and then click on 'I am ready to begin' for all such exempted subjects. On Assessment screen without attempt any question directly click on submit button.

Level III – CS Professional

 

Eligibility criteria

 

  • Student should have passed CS Executive examination
  • The student shall have to successfully complete a Pre-Examination Test to become eligible to register and appear in the Professional examination.

  • A recent, Passport sized photo with size between 20kb and 50kb.
  • Specimen signature with size of between 10kb to 20kb
  • Copy of Birth certificate with size not exceeding 2MB

Registration procedure for CS Professional

 

  1. Go to F isci.edu
  2. Click on “Online services” and select “Student portal
  3. Log in with valid credentials
  4. Navigate to link by using Module -> Student Services -> Professional Registration request.
  5. Student can view syllabus in which he/she is getting registered by clicking on “View details”.
  6. Student will have to select optional subject mandatorily.
  7. Click on “Proceed to payment gateway” to make the payment
  8. On Successful payment receipt will get generated.

 

Cut Off date for Registration

 

  • The Student has registered himself/herself as a student for the Professional Programme at least 9 calendar months prior to the month in which the examination commences.
  • If the student registers for Professional programme up to and including the month of February in a year are eligible to appear in all the modules in December same year.
  • If the student registers for Professional programme up to and including the month of May in a year are eligible to appear in any one module in December same year.
  • If the student registers between June to August during a year, he/she will be eligible to appear in all the modules in June next year.
  • If the student registers for Professional programme up to and including the month of November in a year are eligible to appear in any one module in June next year.
